Terms of Service

1. Acceptance of Terms

By accessing or using Curistat LLC, doing business as Curistat Trading Analytics ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Service Description

Curistat Trading Analytics is a volatility forecasting platform for ES (E-mini S&P 500) and NQ (E-mini Nasdaq 100) futures, with support for micro contracts (MES/MNQ) and ETFs (SPY/QQQ). Our statistical models generate:

• Session volatility ratings (1–10 scale)
• Expected range predictions for RTH and ETH sessions
• Directional probability signals
• Market regime analysis (CRC composite)
• Economic event impact tracking

3. Account Registration

• You must provide accurate and complete information when creating an account.
• One account per person. Duplicate accounts may be suspended or terminated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at security@curistat.com if you become aware of any unauthorized access to your account.
• We reserve the right to refuse registration, cancel accounts, or remove content at our sole discretion.

4. Subscription Plans & Payment

We offer the following subscription tiers:

• All payments are processed securely by Stripe. We do not store your payment card information on our servers.
• Subscriptions auto-renew at the end of each billing period unless you cancel before the renewal date.
• You may cancel your subscription at any time. Access continues through the end of your current billing period.
• No refunds are provided for partial billing periods.
• We reserve the right to change pricing with at least 30 days advance notice via email.

5. Acceptable Use Policy

• Free tier: Personal, non-commercial use only.
• Pro/Pro+ tiers: You may use data in your personal trading operations.
• No redistribution, reselling, or public sharing of any data, forecasts, or analysis obtained through the Service.
• No creating derivative products, competing services, or commercial offerings based on our data.
• No automated redistribution of data, even for paid subscribers.

6. Prohibited Activities

You agree NOT to engage in any of the following:

• Use robots, spiders, scrapers, or other automated tools to access the Service beyond authorized API usage.
• Copy, reproduce, redistribute, or republish any data, forecasts, ratings, or analysis.
• Share account credentials with any third party.
• Access the Service through any means other than the provided interfaces (website, mobile app, authorized API).
• Attempt to reverse-engineer, decompile, or derive our algorithms, models, or methodologies.
• Use data obtained from the Service to create competing products or services.
• Exceed the rate limits or usage quotas associated with your subscription tier.
• Circumvent access controls, security measures, or usage restrictions.
• Probe, scan, or test the vulnerability of our systems without prior written permission.
• Introduce malware, viruses, or any harmful code.
• Impersonate any person or entity.
• Use the Service for any illegal purpose.

7. Monitoring & Enforcement

We reserve the right to:

• Monitor usage patterns to detect violations of these Terms.
• Rate limit or throttle accounts that exceed normal usage patterns.
• Temporarily suspend accounts pending investigation (24–72 hours).
• Permanently terminate accounts for serious or repeated violations.
• Block IP addresses or devices associated with violations.
• Pursue legal remedies for unauthorized data redistribution.
• Cooperate with law enforcement when required by law.

Enforcement Escalation

1. First violation: Warning notification and temporary rate limiting.
2. Second violation: 7-day account suspension.
3. Third violation: Permanent account termination without refund.
4. Egregious violations (mass data redistribution, security attacks): Immediate termination without prior warning.

8. Intellectual Property

• All content, statistical models, algorithms, the CRC (Curistat Regime Composite), rating methodologies, and feature engineering are proprietary to Curistat Trading Analytics.
• Trade secret protection applies to our scoring algorithms, model weights, and feature engineering processes.
• "Curistat", "CRC", and associated marks and logos are our property.
• No license is granted beyond personal use as a subscriber within the scope of your subscription tier.
• Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without compensation or attribution.

9. Data Accuracy & Disclaimers

• We do not guarantee the accuracy, completeness, or timeliness of any data or forecasts.
• Historical accuracy metrics are displayed for transparency but do not guarantee future performance.
• We are not responsible for any trading losses incurred based on our data or forecasts.
• Market conditions can change rapidly. Our models have known limitations and may not capture all factors affecting price movement.
• Data may be delayed, interrupted, or temporarily unavailable during scheduled maintenance or unplanned outages.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total aggregate liability to you for any and all claims arising from or related to the Service shall not exceed the total fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.
• In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or theory of liability.
• We are not liable for lost profits, lost data, trading losses, or business interruption.
• These limitations apply regardless of whether the damages are based on warranty, contract, tort, negligence, strict liability, or any other legal theory.

11. Indemnification

You agree to indemnify, defend, and hold harmless Curistat LLC (d/b/a Curistat Trading Analytics), its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your trading decisions, whether or not informed by our data.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any claim by a third party related to your use of the Service.

12. Termination

• You may cancel your subscription at any time through your account settings or by contacting support@curistat.com.
• We may suspend or terminate your account at any time for violation of these Terms, with or without prior notice depending on the severity of the violation.
• Upon termination for cause, access is revoked immediately and no refund is provided.
• We may retain anonymized, aggregated usage data for the purpose of service improvement.
• Sections 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), and 11 (Indemnification) survive termination of these Terms.

13. Modifications to Terms

• We may update these Terms at any time.
• For material changes, we will provide at least 30 days notice via the email address associated with your account before the changes take effect.
• Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
• If you disagree with any changes, you must stop using the Service and cancel your subscription before the changes take effect.

14. General Provisions

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law principles.
• Dispute Resolution: Any disputes shall first be attempted to be resolved through good faith negotiation by contacting legal@curistat.com. If unresolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Either party may bring an individual action in small claims court as an alternative. You agree that any dispute resolution will be conducted on an individual basis and not in a class, consolidated, or representative action.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Curistat Trading Analytics regarding the Service.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: We may assign or transfer these Terms without restriction. You may not assign or transfer your rights under these Terms without our prior written consent.

15. Developer API & Agent Terms

API access is available to subscribers on eligible tiers. By using the Curistat API, you additionally agree to the following:

• API keys are personal to your account and may not be shared, published, embedded in client-side code, or transferred. You are responsible for all activity conducted using your API key. Report compromised keys immediately to security@curistat.com.
• Rate limits apply per tier and are published at /api/v1/discover. Exceeding rate limits may result in temporary throttling or suspension.
• AI agents and automated systems are welcome to use the API within the terms of the subscribed tier. Agents should identify themselves via the X-Agent-ID header.
• Prohibited API use: building competing products, redistributing data to third parties (including via pass-through APIs), caching data beyond the current trading session without permission, or removing attribution.
• Agent reputation: We track API usage patterns including error rates, rate limit compliance, and request behavior. Accounts with consistently good behavior may receive enhanced rate limits. Accounts exhibiting abusive patterns may be throttled or revoked.
• API availability: We do not guarantee uninterrupted API availability. The API may be modified, rate-limited, or versioned with reasonable notice.
